Governance
FBMU Global Network
Independent accountability in service of the mission
The Board of Directors exercises the organization’s powers, protects its assets, oversees compliance, and decides how resources are used in accordance with FBMU’s mission.
Board of Directors
The initial board includes Honoré Nzambu, President; Pierrot Ngimbidi, Vice President; Ange Buyama, Secretary; and Jeannette Cibuabua, Treasurer. Every director is bound by duties of care, loyalty, and obedience.
Grant & Compliance Committee
This standing committee reviews grant proposals submitted by UBM, assesses mission alignment, financial feasibility, and prior-grant documentation, and makes recommendations to the board.
Conflicts of interest and recusal
The president’s dual role with FBMU and UBM is formally disclosed. He recuses himself from votes involving funds, contracts, or grants directed to UBM and limits his participation to relevant institutional information.
Meetings, decisions, and records
Major decisions are made by the board under the quorum and voting rules in the bylaws. Minutes, resolutions, treasurer reports, grant agreements, and compliance records are retained in the permanent files.
Volunteer directors
Directors are not compensated for board service. Reasonable and necessary expenses may be reimbursed in accordance with the bylaws and proper authorization.
